How to open a business in Serbia

Two forms: DOO and sole trader

DOO (limited liability company). A foreigner can be a founder. Minimum share capital is RSD 100 unless a special law requires more; it may be paid after registration within the period set in the founding act. Since 17 May 2023 DOO incorporation is filed only electronically with the Serbian Business Registers Agency (APR). You need: founding act, founder's passport copy, director appointment, registration fee. If a founder is a foreign company, its home-register extract must be digitised by a notary or a Serbian lawyer.

Sole trader (preduzetnik): a registered natural person — no share capital or founding act, but personal liability for obligations.

After registration

Company bank account, accountant, tax and VAT regime, registered address. Employment in your own company can be a ground for a single residence and work permit.

We work with partner lawyers and accountants and find offices or business premises in Belgrade. Fees: on request.
